1. About Elite Changemakers
Elite Changemakers is a nonprofit organization dedicated to equipping college students and emerging professionals with the workplace readiness skills, coaching, mentorship, and resources they need to transition into their careers with confidence, professional skills, and clarity. Elite Changemakers was founded by Refugio (Ref) Atilano, a former Fortune 100 senior corporate leader and author of The Latino Leadership Playbook.

Elite Changemakers operates as a 501(c)(3) tax-exempt nonprofit organization under the laws of the United States. Contributions made to Elite Changemakers may be tax-deductible to the extent permitted by law. Donors should consult a qualified tax advisor for guidance specific to their circumstances.

2. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the Elite Changemakers website located at www.elitechangemakers.org (the “Site”), including all content, features, and services available through the Site. By accessing or using the Site in any manner, you:
Are at least 13 years of age (or 18 years of age to make donations or submit applications without parental consent);
Have read, understood, and agree to be bound by these Terms;
Agree to comply with all applicable federal, state, and local laws and regulations; and
Acknowledge that these Terms constitute a legally binding agreement between you and Elite Changemakers.

If you are using this Site on behalf of an organization, institution, or corporation, you represent that you have the authority to bind that entity to these Terms.

3. Description of Website Services
The Site provides the following primary services and features:

3.1 Program Information
The Site provides information about Elite Changemakers’ programs, including the Professional Leadership Club (PLC), POWERshops, mentorship opportunities, scholarship offerings, and related talent development initiatives. Program details are subject to change without prior notice.

3.2 Online Donations
The Site enables individuals and organizations to make one-time or recurring monetary donations to support Elite Changemakers and its mission. All donations are processed through a secure third-party payment processor. By submitting a donation, you agree that:
Your donation is voluntary and non-refundable except as required by law or at the sole discretion of Elite Changemakers;
You are the authorized account holder or have authorization to use the payment method provided;
Elite Changemakers is a 501(c)(3) organization and will provide a donation receipt as required by the IRS for gifts of $250 or more; and
Donations will be used to advance the charitable mission of Elite Changemakers and are not restricted to specific programs unless designated in writing.

3.3 Student & Professional Resources
The Site offers access to educational content, career tools, leadership resources, articles, and downloadable materials designed to support college students and early-career professionals. Access to certain resources may require registration or program enrollment.

3.4 Program Applications
Eligible individuals may apply for Elite Changemakers programs and scholarships through the Site. Submission of an application does not guarantee acceptance into any program. Selection criteria, timelines, and program capacity are determined by Elite Changemakers at its sole discretion.

3.5 Partnership Inquiries
Colleges, universities, corporations, and other organizations may submit partnership inquiries through the Site. Submission of an inquiry does not create a binding partnership or contractual obligation on the part of either party.

4. Eligibility
Use of this Site is available to all individuals regardless of race, ethnicity, gender, religion, sexual orientation, national origin, or disability status. While Elite Changemakers has a particular mission to serve college students and emerging professionals, our programs and resources are open to all qualified participants.

To apply for a program or scholarship, applicants must meet the specific eligibility criteria set forth in the applicable program description, which may include enrollment status, grade level, geographic location, and other factors. Elite Changemakers reserves the right to update eligibility criteria at any time.

5. User Accounts and Registration
Certain features of the Site may require you to create a user account. When creating an account, you agree to:
Provide accurate, complete, and current information;
Maintain and promptly update your account information as necessary;
Keep your password confidential and not share it with any third party;
Notify Elite Changemakers immediately at info@Elitechangemakers.org of any unauthorized use of your account; and
Accept responsibility for all activity that occurs under your account.

Elite Changemakers reserves the right to suspend or terminate any account that violates these Terms or that we believe, in our sole discretion, presents a risk to the integrity of the Site or the safety of our community.

6. Intellectual Property
6.1 Ownership
All content on this Site — including but not limited to text, graphics, logos, images, videos, program materials, course content, downloadable resources, and the Elite Changemakers name and brand — is the exclusive property of Elite Changemakers or its content licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

6.2 Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its publicly available content for your personal, non-commercial use only. You may print or download content for personal reference provided you do not modify it and you retain all copyright notices.

6.3 Prohibited Use
You may NOT, without the prior written consent of Elite Changemakers:
Reproduce, republish, distribute, or commercially exploit any content from this Site;
Use the Elite Changemakers name, logo, or brand in any manner that implies endorsement, affiliation, or partnership;
Create derivative works from Site content; or
Use Site content for any commercial purpose or public display.

7. User-Submitted Content
If you submit testimonials, comments, applications, feedback, or other content to the Site (“User Content”), you grant Elite Changemakers a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, adapt, publish, and display such User Content in connection with our mission and communications, including on the Site, in donor reports, and in marketing materials, unless you expressly opt out in writing.

You represent that: (a) you own or have the right to submit your User Content; (b) your User Content does not infringe any third-party rights; and (c) your User Content is truthful, accurate, and does not violate any applicable law. Elite Changemakers reserves the right to remove any User Content at any time for any reason without notice.

8. Prohibited Conduct
By using this Site, you agree that you will NOT:
Use the Site for any unlawful purpose or in violation of any applicable laws or regulations;
Attempt to gain unauthorized access to any portion of the Site, user accounts, or related systems;
Transmit any viruses, malware, or other harmful code;
Engage in any conduct that interferes with or disrupts the Site’s operation;
Collect or harvest any personally identifiable information about other users without consent;
Impersonate any person, organization, or entity, including Elite Changemakers staff or leadership;
Submit false, misleading, or fraudulent information in any application or donation form;
Use automated tools (bots, scrapers) to access or collect data from the Site without written permission; or
Post or transmit content that is discriminatory, harassing, defamatory, obscene, or otherwise objectionable.

9. Third-Party Links and Services
The Site may contain links to third-party websites, services, or resources (including payment processors, social media platforms, and partner organizations) that are not owned or controlled by Elite Changemakers. We provide these links for convenience only and do not endorse, recommend, or take responsibility for the content, privacy practices, or availability of those third-party sites.

Your interactions with third-party sites are governed by their own terms and privacy policies. Elite Changemakers is not liable for any loss or damage arising from your use of any third-party site or service.

10. Donation Policy and Refunds
All donations made through the Site are final. Elite Changemakers is unable to provide refunds for completed donations except in cases of processing error or as otherwise required by applicable law. If you believe a donation was processed in error, please contact us within 30 days at info@Elitechangemakers.org with proof of transaction.

Recurring donation subscriptions may be cancelled at any time by contacting us before the next scheduled processing date. Cancellation requests received after a payment has been processed will apply to future installments only.

Elite Changemakers will use donation proceeds in furtherance of its charitable mission. General (undesignated) donations may be allocated at the discretion of Elite Changemakers leadership.

11. Privacy
Your use of this Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at [INSERT PRIVACY POLICY URL]. THIS SITE AND ALL CONTENT AND SERVICES AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Elite Changemakers does not warrant that: (a) the Site will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Site or its servers are free of viruses or other harmful components; or (d) the content on the Site is accurate, complete, or current.

Career outcomes, salary increases, job placement, and other professional results described on the Site represent goals and illustrative examples only. Elite Changemakers does not guarantee any specific results from participation in its programs.

13. Limitation of Liability
In no event shall Elite Changemakers’ total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed the greater of (a) the total amount of donations you made to Elite Changemakers in the 12 months preceding the claim or (b) $100.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELITE CHANGEMAKERS, ITS AFFILIATES, AGENTS, OFFICERS, DIRECTORS, EMPLOYEES, COACHES, VOLUNTEERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF, OR RELATING TO, THE USE OF, OR INABILITY TO USE, THIS SITE OR ITS SERVICES. UNDER NO CIRCUMSTANCES WILL ELITE CHANGEMAKERS BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SITE, YOUR ACCOUNT, OR THE INFORMATION CONTAINED THEREIN.

IN NO EVENT SHALL ELITE CHANGEMAKERS, ITS AFFILIATES, AGENTS, OFFICERS, DIRECTORS, EMPLOYEES, COACHES, VOLUNTEERS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID OR DONATED TO ELITE CHANGEMAKERS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR $100.00, WHICHEVER IS GREATER.

The Site is controlled and operated from facilities in the United States. Elite Changemakers makes no representations that the Site is appropriate or available for use in other locations. Those who access or use the Site from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You may not use the Site if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government. Unless otherwise explicitly stated, all materials found on the Site are solely directed to individuals, educational institutions, corporations, and other entities located in the United States.

14. Indemnification
You agree to defend, indemnify, and hold harmless Elite Changemakers and its officers, directors, employees, volunteers, coaches, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit.

15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you hereby consent to the personal jurisdiction of such courts.

Before initiating any legal proceeding, the parties agree to attempt in good faith to resolve any dispute informally by contacting Elite Changemakers at info@Elitechangemakers.org. If the dispute cannot be resolved within 30 days, either party may pursue available legal remedies.

16. Children’s Privacy (COPPA Compliance)
This Site is not directed to children under the age of 13, and Elite Changemakers does not knowingly collect personal information from children under 13. If you are under 13, please do not use this Site or provide any personal information through it. If we learn we have collected information from a child under 13, we will take steps to delete that information promptly.

Users between the ages of 13 and 17 are permitted to access informational content on the Site but may not make donations or submit program applications without parental or guardian consent.
